These Terms & Conditions (“Terms”) govern your access to and use of the Vocallie website, applications, and AI voice-agent services (collectively, the “Service”), operated by JAROHINA TECHNOLOGIES PRIVATE LIMITED. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Vocallie provides AI-powered voice agents that make and answer telephone calls on your behalf, along with related tools for booking, follow-ups, call logging, and CRM. Features and limits vary by the plan you select and may change over time.

2. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for keeping your credentials secure, and for all activity that occurs under your account.

3. Acceptable use

You agree not to use the Service to:

• place unlawful, fraudulent, harassing, or deceptive calls;
• send unsolicited marketing calls in violation of applicable telemarketing, DND/TRAI, TCPA, or similar laws;
• impersonate any person or entity, or misrepresent your identity or affiliation;
• infringe intellectual-property, privacy, or other rights of any third party; or
• attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service.

You are solely responsible for the content of calls placed through your agents and for obtaining any consent required to call or record the individuals you contact.

4. Plans, billing & payments

Paid plans and wallet top-ups are billed through our payments provider, Paddle, who acts as the Merchant of Record for purchases made on the Service. Paddle handles payment processing, billing, and applicable taxes; your purchase is also subject to Paddle’s buyer terms. Subscriptions renew automatically for the billing period you select (monthly, quarterly, or yearly) until cancelled. Usage beyond your plan’s included minutes is charged at the applicable overage rate from your wallet balance.

5. Cancellation & refunds

You may cancel your subscription at any time from your account; access continues until the end of the current billing period. Refunds are governed by our Refund Policy, including the 30-day money-back guarantee described there.

6. Third-party services

The Service relies on third-party providers (including telephony, cloud, and AI providers) to function. Your use may also be subject to their terms, and we are not responsible for outages or acts of those providers beyond our reasonable control.

7. Intellectual property

The Service, including its software, branding, and content, is owned by us and our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms. You retain ownership of the content and data you provide.

8. Disclaimers & limitation of liability

The Service is provided “as is” without warranties of any kind. AI-generated calls may contain errors, and you are responsible for reviewing outcomes. To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service shall not exceed the amount you paid to us in the three (3) months preceding the claim.

9. Suspension & termination

We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to us, other users, or third parties. You may stop using the Service at any time.

10. Governing law

These Terms are governed by the laws of India. The courts at Surat, Gujarat shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
